Formation, changes and transformations of companies

Anyone can set up an s.r.o. today. The difference lies in whether the structure fits your plans: an investor coming on board, rewarding key people, a holding, a sale in five years. We will set up an s.r.o., a.s., j.s.a. or k.s. and draft the memorandum of association so that you do not have to redo it a year later. Mergers, divisions, changes of legal form and cross-border transformations we handle under Act No. 309/2023 Coll. on transformations of commercial companies and cooperatives, effective from 1 March 2024, which substantially changed the transformation process.

Disputes between shareholders

We draft memoranda of association and shareholders’ agreements so as to prevent disputes — and when a dispute does arise, we represent you in resolving it.

International trade is part of the portfolio of many of our clients — whether it is expansion into new markets, the acquisition of a foreign company or negotiation of another international contract. We protect your strategic interests, including know-how and intellectual property.

Cross-border contracts and governing law

In international transactions we agree the governing law, the method of dispute resolution (court or arbitration) and the delivery terms (Incoterms) so that they suit you. We prepare distribution, agency and supply contracts and keep watch over the risks that often arise with differing jurisdictions and languages.

Online sales and digital content are among the most heavily regulated areas. We will help you deal with your statutory obligations without overburdening you — from terms and conditions through distance selling to consumer protection.

New rules for e-shops and online services

Since 1 July 2024, Act No. 108/2024 Coll. on consumer protection has been in force. It changed the rules on complaints (liability for defects for two years, a presumption that the defect existed on delivery for 12 months), the rules on discounts (the obligation to state the lowest price in the last 30 days), reviews and the labelling of paid advertising. Online platforms and intermediaries must also comply with the Digital Services Act (Regulation (EU) 2022/2065). We will review your e-shop, terms and conditions, complaints procedure and marketing and bring them into compliance before the Slovak Trade Inspection comes knocking.
