Finance, funds and regulation

Money moves fast, regulation slowly, and sanctions come later. We help companies raise capital through a properly structured approach, help regulated entities obtain and keep authorisation from the National Bank of Slovakia, and help obliged entities meet AML rules without unnecessary bureaucracy. Always with an eye on the taxes that determine the real return. In Slovakia, in Czechia and cross-border.

Financing

Financing a business is crucial for every entrepreneur. Before deciding on a financing structure, we recommend verifying the legal and tax consequences — crowdfunding, bonds, venture capital or public support all have their pitfalls. We will help you choose a model that fits your business.

Forms of financing

From classic bank and venture capital financing through bond issues to crowdfunding — each form has different legal, contractual and tax consequences, which we will go through with you before you decide.

Public and European support

We advise on obtaining business support grants from the state and from European Union funds, including the conditions for drawing them down and their sustainability requirements.

Investing and capital markets

Investing is the foundation for growing wealth. Whether it involves real estate, art, luxury assets or products on the capital markets, it pays to understand the risks in detail — both legal and tax — before you decide.

Due diligence and risks

In investments we verify legal title, contractual documentation and the risk profile, so that you decide on the basis of facts, not impressions.

Capital markets

We provide analyses and know-how for investors who want to understand the risks of specific products and the regulation of entities operating on the capital and investment markets.

Financial regulation

The financial sector is the most heavily regulated area of business. Payment institutions, securities dealers, fund managers, crypto-asset service providers and lenders all need authorisation or registration from the National Bank of Slovakia and must meet ongoing obligations. We will assess which regime applies to you, prepare the application and set up your internal rules.

MiCA and crypto-assets

The EU Markets in Crypto-Assets Regulation (MiCA) is fully in effect; crypto-asset service providers need a CASP licence, which in Slovakia is granted by the National Bank of Slovakia. We cover this area in detail on the Blockchain and crypto-assets page.

DORA: digital resilience of financial entities

Regulation (EU) 2022/2554 (DORA) has applied since 17 January 2025. Banks, payment institutions, securities dealers, funds, insurers and crypto-asset service providers must have an ICT risk management framework, report major incidents, test their resilience and hold contracts with IT suppliers that contain prescribed content. We will help you determine what parts of DORA apply to you and bring your contracts and internal rules into compliance.

Compliance and AML

Compliance means bringing your business into line with regulation and thereby avoiding both penalties and reputational risks. The focus today is protection against money laundering (AML), which is undergoing its biggest change in years.

The new European AML framework (AMLR and AMLA)

Until 9 July 2027, Slovak Act No. 297/2008 Coll. on protection against the legalisation of proceeds of crime applies. From 10 July 2027 it will be replaced by the directly applicable Regulation (EU) 2024/1624 (AMLR), which will unify the rules across the entire Union and widen the range of obliged entities. The new European authority AMLA, based in Frankfurt, will begin directly supervising selected financial institutions in 2028. The internal compliance programme you have today will need to be reworked. We will do it well ahead of time, so that you do not have to change your processes under pressure.

Sanctions and reputational risk

Neglecting compliance does not pay — you risk a fine as well as the cost of bringing the business into compliance after the fact, and on top of that reputational risk that can fundamentally affect the trust of clients and partners.
